The Development Bank of Southern Africa (DBSA) invited tenders for the construction of school infrastructure in the Eastern Cape, including Gobidolo Junior Secondary School. Sivubo Trading and Projects CC submitted a tender. DBSA issued a Letter of Appointment on 6 May 2014 conditionally accepting Sivubo’s tender, subject to Sivubo providing specified documents (including insurance, guarantees, and safety plans) by 16 May 2014. Sivubo accepted the Letter of Appointment but failed to provide all required documents by the stipulated deadline, furnishing them only on 23 June 2014. Although DBSA provisionally handed over the site, the JBCC building contract was never signed. DBSA later terminated the arrangement. Sivubo sued for damages, alleging repudiation of a binding JBCC contract. DBSA raised a special plea that no contract came into existence because a suspensive condition was not fulfilled.
