MTN Service Provider (Pty) Ltd and Belet Industries CC concluded a dealer agreement in October 2010 under which Belet marketed and distributed MTN products nationally in return for commissions and discounts. During an audit in September 2011, MTN alleged that Belet had concealed 15 items of stock in a trolley, claiming these were ‘grey goods’ not supplied by MTN and that Belet obstructed the audit and breached trust. MTN summarily terminated the agreement in November 2011, dispossessed Belet of its stores, stock and trading systems, and installed replacement dealers. Belet denied wrongdoing, contending the goods were paid-for obsolete or defective stock, and that MTN terminated the agreement without lawful grounds. Belet sued for damages for breach or repudiation, claiming loss of future profits. The High Court found in Belet’s favour, and MTN appealed to the Supreme Court of Appeal.
