Klaas Creative (Pty) Ltd instituted action against Buffalo City Metropolitan Municipality (BCMM) for payment of R1,334,904.15 allegedly due for construction work performed on a housing project. The claim arose from a tender awarded by BCMM to Umso/Imvusa Trading 454 t/a Civil Joint Venture, which later entered into a cessionary/subcontract agreement with Klaas Creative, approved by BCMM. Umso Trading ceded its rights to payment under the main contract to Klaas Creative. After Umso Trading abandoned the project and the main contract was terminated, Klaas Creative’s subcontract was assigned to BCMM in terms of the General Conditions of Contract. Klaas Creative completed certain works, which were verified and approved by the resident Engineer, and submitted invoices. BCMM acknowledged liability but failed to make payment. BCMM raised an exception to the amended particulars of claim, alleging they failed to disclose a cause of action due to non-fulfilment of an alleged suspensive condition in the cessionary agreement.
