Patel v South African Securitisation Programme (RF) Limited and Others

Ezindaleni Power Solutions CC concluded a Master Rental Agreement in May 2019 for office equipment. Its members, including Ebrahim Patel, bound themselves as guarantors and co‑principal debtors. Through a chain of cessions, South African Securitisation Programme (RF) Limited became the holder of the lessor’s rights. Ezindaleni defaulted on rental payments and was placed in liquidation in mid‑2020. The lessor sued the guarantors for accelerated future rentals and liquidated damages, alleging cancellation of the agreement. No notice of cancellation was given to Ezindaleni or its liquidators, and the claim was pleaded solely on contractual cancellation. Evidence at trial revealed that the liquidators had not elected to continue the lease under s 37 of the Insolvency Act, resulting in a deemed termination by operation of law.

The appeal was upheld with costs. The order of the Mpumalanga High Court against Mr Ebrahim Patel was set aside and replaced with an order dismissing the plaintiff’s action against him with costs.

The judgment reaffirms the fundamental procedural principle that parties are bound by their pleadings and cannot shift the basis of their case on appeal. It clarifies the distinction between contractual cancellation and statutory termination of leases under s 37 of the Insolvency Act, particularly regarding claims against guarantors, and underscores that accessory liability depends strictly on the pleaded and proven liability of the principal debtor.
