Ezindaleni Power Solutions CC concluded a Master Rental Agreement in May 2019 for office equipment. Its members, including Ebrahim Patel, bound themselves as guarantors and co‑principal debtors. Through a chain of cessions, South African Securitisation Programme (RF) Limited became the holder of the lessor’s rights. Ezindaleni defaulted on rental payments and was placed in liquidation in mid‑2020. The lessor sued the guarantors for accelerated future rentals and liquidated damages, alleging cancellation of the agreement. No notice of cancellation was given to Ezindaleni or its liquidators, and the claim was pleaded solely on contractual cancellation. Evidence at trial revealed that the liquidators had not elected to continue the lease under s 37 of the Insolvency Act, resulting in a deemed termination by operation of law.
