Transnet Limited, a state-owned company, invited tenders for the supply of gold wristwatches to reward long-serving employees. Goodman Brothers (Pty) Ltd, which had successfully supplied such watches to Transnet for several years, submitted a tender but was unsuccessful, the tender being awarded to another supplier. Goodman requested written reasons for the rejection of its tender. Transnet refused, relying on a tender condition stating that it was not obliged to provide reasons. Goodman approached the High Court, which ordered Transnet to provide reasons and declared the exclusionary tender clause unconstitutional. Transnet appealed to the Supreme Court of Appeal.
