Maziya General Services CC (the appellant) and Tshiya Infrastructure Development (Pty) Ltd formed a joint venture (60%/40%) and concluded a written construction contract with the Minister of Public Works for renovations and new accommodation at the Queenstown Police Station, valued at approximately R96 million over 36 months. The joint venture commenced work in February 2019. On 6 March 2020, the Minister repudiated the contract alleging non-performance. Maziya accepted the repudiation, terminated the contract, and sued the Minister for damages limited to its 60% pro rata share. Tshiya was joined as a respondent due to its interest but no relief was sought against it. The Minister raised an exception, arguing that Maziya lacked authority to act unilaterally without its joint venture partner and that the particulars of claim were vague, embarrassing, and disclosed no cause of action. The court a quo upheld the exception. Maziya appealed.
