The Competition Commission discovered a Manufacturing Agreement (2000) and an unsigned Amending Agreement (2002) between Irvin & Johnson Ltd (I&J), a distributor of beef burger patties, and Karan Beef (Pty) Ltd, a manufacturer of such patties. The agreements regulated the manufacture of frozen beef burger products by Karan for I&J and included clauses restricting Karan from manufacturing similar products for its own account or others, subject to limited exceptions. The Commission alleged that these provisions amounted to cartel conduct through market division in contravention of s 4(1)(b)(ii) of the Competition Act 89 of 1998. Karan settled with the Commission and paid an administrative penalty, while I&J opposed the complaint. The Competition Tribunal dismissed the complaint against I&J, finding that the agreement, properly characterised in context, did not constitute prohibited market division. The Commission appealed to the Competition Appeal Court.
